The Annual General meeting of the Nanaimo & District Fish & Game Protective Association, Located at 1325 Nanaimo Lakes Road, Nanaimo, B.C., will be held on Sunday February 25, 2024 starting at 10:00 am in the Multipurpose Archery Building.
The agenda will include the election of an Executive Board of Directors for the new year, a financial report for the previous year, and all other business of the Society. Many long standing volunteers are stepping down for a variety of reasons and we will have quite a few positions to fill for the coming year.
There will be two Special Resolutions:
Special Resolution 2024-01 – Directors term of office
Background: The BC Societies Act states that Unless the bylaws provide otherwise, for the purposes of section 48 (1), [when a director ceases to hold office] a director’s term of office expires at the close of the next annual general meeting after the director’s designation, election or appointment unless the bylaws provide otherwise. Prior to last year’s AGM we had nine “directors at large” and we called three of them trustees and they were elected for staggered 3 year terms. We called six of them “directors” and they were elected for staggered two year terms. When it was discovered that our Bylaws didn’t provide for a term of office longer than one year we had to elect all positions for one year.
We believe it is in the best interests of the club to have our directors elected for staggered terms of office so that that we always have experienced people on the board of directors.
Therefor be it resolved that our bylaws Part 4 – Directors. Number of directors on Board be amended

4.1 The Society must have no fewer than 3 and no more than 15 directors
To:
4.1 The Society must have no fewer than 3 and no more than 15 directors
(a) A director’s term of office shall be from one to three years at the board of director’s discretion

Special Resolution 2024-02 Vice Presidents
Background: We have always had two Vice Presidents at the club. The role of Vice President is meant to be one where the elected Vice Presidents will eventually step up to be the President when the current President’s term of office, usually 2 years, is complete. This way a Vice president gets experience of how the club is run and what the role of president will be. The Bylaws currently only list one Vice President and we have always designated one of the directors at large as the second Vice President. We believe it is in the best interests of the club to have both Vice Presidents positions formalized in the Bylaws.

Therefore be it resolved that Part 6 – Board positions be amended by changing it
